These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and KUVEX ("Company", "we", "us", "our"), the company behind the Code Pilot product, governing your access to and use of the CodePilot software, website at kuvex.ai, and all related services (collectively, the "Service").
By accessing or using the Service, creating an account, or completing a purchase, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to be bound by them in full.
CodePilot is an autonomous AI software engineering desktop application that plans architecture, writes code, runs tests, and deploys software on behalf of users. The Service is available for Windows, macOS, and Linux operating systems.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes where practicable.
To use the Service, you must register for an account by providing a valid email address and password, or by authenticating via a supported third-party OAuth provider (Google, GitHub).
CodePilot is offered on a monthly subscription basis. Subscriptions automatically renew at the end of each billing period unless cancelled by you prior to the renewal date.
Annual subscriptions are billed as a single upfront payment for 12 months of access at a 20% discount compared to monthly billing. Annual subscriptions renew automatically unless cancelled before the renewal date.
All payments are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. By making a purchase, you also agree to Paddle's Terms of Service. KUVEX does not store your payment card information.
Prices displayed are exclusive of applicable taxes. Paddle, as Merchant of Record, calculates and collects applicable VAT, GST, and sales tax based on your location.
You may cancel your subscription at any time from your account settings within the CodePilot application. Upon cancellation, your subscription remains active until the end of the current billing period. No partial refunds are issued for unused time.
CodePilot subscriptions are generally non-refundable. Because the software is delivered digitally and access is granted immediately upon purchase, all charges are final except as described below.
Limited exception: KUVEX may, at its sole discretion, issue a refund of the first subscription payment only if a refund request is submitted within 7 days of the initial charge and documents a verifiable technical failure that prevented use of the software, and the issue was not resolved after contacting support. Requests based on dissatisfaction, change of mind, or failure to use the product do not qualify.
Renewal charges are non-refundable under all circumstances. Cancellation stops future charges but does not entitle you to a refund for the current billing period.
For EU/UK users: by completing checkout and requesting immediate access to the digital software, you expressly consent to immediate supply and acknowledge the loss of your statutory 14-day right of withdrawal under EU Directive 2011/83/EU and equivalent UK legislation, to the extent permitted by applicable law.

CodePilot processes code, files, and instructions you provide in order to deliver AI-assisted engineering features. By using the Service, you acknowledge:
The Service, including all software, designs, trademarks, and content, is owned by KUVEX and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal or internal business purposes, subject to these Terms.
You retain all intellectual property rights in code and content you create using the Service.
The Service integrates with or depends on third-party services including Supabase (authentication and database), Paddle (payment processing), and various AI model providers. KUVEX is not responsible for the availability, accuracy, or practices of these third-party services. Your use of such services is subject to their respective terms and privacy policies.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
KUVEX DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY CODE GENERATED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE; (C) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KUVEX'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO KUVEX IN THE THREE MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL KUVEX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.
You agree to indemnify, defend, and hold harmless KUVEX and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.
KUVEX may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, without limitation, breach of these Terms, suspected fraud, or misuse of the Service.
Upon termination, all licenses granted to you immediately cease. Sections 5, 8, 10, 11, and 13 shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
Before initiating any formal proceedings, you agree to first contact us at legal@kuvex.ai and attempt to resolve the dispute informally for a period of 30 days.
We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice within the Service. Your continued use of the Service after such notification constitutes your acceptance of the updated Terms.
